1. Acceptance of Terms

These Terms of Use (the “Terms”) form an agreement between you and We Buy North (“We Buy North”, “we”, “us”) governing your access to and use of the We Buy North website, mobile applications and related services (the “Platform”). By creating an account and checking the agreement box, or by otherwise using the Platform, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least the age of majority in your province or territory to create an account, or have the consent and supervision of a parent or guardian where permitted by law. You must be legally able to enter into a binding agreement and must not be prohibited from using the Platform under applicable law.

3. Account Registration

You agree to provide accurate, current and complete information when registering (including your username, email address, province or territory and postal code) and to keep it up to date. You may not create an account for someone else without authorization or create multiple accounts to evade restrictions.

4. Account Security

You are responsible for keeping your password and sign-in methods confidential and for activity that occurs under your account. Notify us promptly through Help & Support if you believe your account has been compromised. We may take reasonable steps, including temporarily restricting access, to protect accounts and the Platform.

5. User Responsibilities

You agree to use the Platform lawfully, respectfully and in accordance with these Terms, applicable laws and any additional rules shown for a specific feature. You are responsible for your content, your communications and your dealings with other users and businesses.

6. Marketplace Listings

Listings must describe items or services accurately, include honest pricing and condition information, and be posted in the correct category and region. You must have the right to sell or offer what you list. We may remove, edit for categorization or restrict listings that violate these Terms or applicable law.

7. Buying and Selling

We Buy North primarily provides a technology platform that connects users, businesses and other participants. Unless explicitly stated otherwise for a particular service, We Buy North is not the seller, the buyer, or a party to transactions between independent users or businesses. Buyers and sellers are responsible for evaluating each other, the items or services, payment and delivery arrangements. Meet in safe public places and never send payment to people you cannot verify.

8. Businesses and Service Providers

Businesses and service providers are responsible for the accuracy of their profiles, credentials, licences, insurance, pricing and the services they deliver. Unless explicitly stated otherwise, We Buy North is not the service provider and does not guarantee the quality, safety or legality of third-party services.

9. Jobs and Employment Listings

Job listings may originate from employers, businesses and other permitted sources. We Buy North is not the employer or the job applicant and does not guarantee employment, interviews, job availability, the accuracy of employer representations, or applicant qualifications. Users should independently verify opportunities. Employers must comply with applicable employment, human-rights and privacy laws.

10. Real Estate and Rentals

Real estate and rental listings are informational platform content. Unless specifically stated otherwise, We Buy North is not acting as the buyer, seller, landlord, tenant, or a real estate broker or professional in any transaction between independent users. Verify listings, ownership, pricing, measurements and legal requirements independently and consult qualified professionals where appropriate.

11. Vehicle Listings

Vehicle sellers must disclose accurate information, including known defects, accident history and liens where required by law. We Buy North is not the vehicle seller. Buyers should obtain a history report, independent inspection and verify ownership and lien status before purchasing.

12. Grocery Information

My North Grocery displays grocery flyers, deals, store information and related content gathered from retailers, flyer providers and other sources. We Buy North is not a grocery retailer and does not sell the grocery products shown.

13. Flyers, Deals and Pricing

Grocery prices, flyers, availability and promotions can change, expire, vary by location or store, contain retailer restrictions, or be corrected by retailers. Savings shown are estimates based on available information. Always confirm the final price and availability with the applicable retailer. Retailer policies govern your purchase.

14. Receipt Uploads

You may upload receipt photos to build your private grocery history. You confirm you have the right to upload them. Receipt photos are processed to read the purchase details and are not kept after reading; the extracted purchase information is stored privately in your account as described in our Privacy Policy. You may delete your receipt history at any time.

15. Grocery Personalization

Receipt information, grocery lists, preferred stores and purchase history may be used to provide personalized grocery features such as matched deals, price alerts, reminders, assistant suggestions and basket comparisons, according to the Privacy Policy. Personalized features are opt-in and suggestions are informational only.

16. User-Generated Content

You keep ownership of content you post. You grant We Buy North a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, translate, adapt for formatting and distribute your content for the purpose of operating, promoting and improving the Platform, for as long as the content remains on the Platform and for a reasonable period afterward for backups and legal compliance. You are responsible for ensuring you have the rights to post your content.

17. Messaging and Communications

Messaging is provided to help users communicate about listings, jobs, services and community activity. Do not use messaging for spam, harassment, scams or to move others off-platform to defraud them. We may review messages when reported or where reasonably necessary for safety, security or legal compliance, consistent with our Privacy Policy.

18. Communities and Social Features

Community posts, profiles, comments and reactions must be respectful and lawful. Community moderators and We Buy North may remove content or limit participation to keep communities safe.

19. Prohibited Content

You may not post content that is illegal; fraudulent or misleading; counterfeit; stolen; infringing; hateful or discriminatory; sexually explicit or exploitative; violent or threatening; defamatory; that invades privacy; that promotes illegal goods or services such as weapons, drugs or controlled substances where prohibited; or that contains malware or deceptive links.

20. Prohibited Conduct

You may not: harass, threaten or impersonate others; send spam; manipulate search results, reviews or rankings; use bots, scrapers or other unauthorized automated activity; attempt to access other accounts or compromise Platform security; interfere with the Platform's operation; circumvent restrictions or suspensions; or use the Platform for any unlawful purpose.

21. Fraud, Scams and Misrepresentation

Fraud, scams, fake listings, fake payment confirmations, phishing, and misrepresentation of identity, items, services, jobs or properties are strictly prohibited. We may investigate reports, remove content, preserve information, cooperate with law enforcement as permitted by law, and suspend or terminate accounts involved.

22. Intellectual Property

The Platform, including its software, design, text, graphics and compilations (excluding user content and third-party content), is owned by or licensed to We Buy North and protected by intellectual property laws. You may not copy, modify, distribute or create derivative works without permission, except as allowed by law.

23. We Buy North Name, Logo and Branding

“We Buy North”, “On achète Nord”, “My North”, “North Spotlight”, the goose and maple leaf logo and related marks are trademarks of We Buy North. You may not use them without our prior written permission, or in any way that suggests endorsement or affiliation.

24. Third-Party Content

The Platform may display content from third parties, including retailers, flyer providers, employers and map services. Such content remains the responsibility of its provider. We do not guarantee its accuracy or completeness, but we take reasonable steps to remove content we learn is unlawful or inaccurate.

25. Third-Party Websites and Services

Links to third-party websites, payment processors, sign-in providers and other services are provided for convenience. Their own terms and privacy policies apply, and We Buy North is not responsible for their content or practices.

26. Memberships

Some features, such as business memberships with priority placement, may require a paid membership. Membership benefits, price, billing period and renewal terms are shown before purchase. Memberships renew automatically where indicated until cancelled; you may cancel at any time and the cancellation takes effect at the end of the current period unless applicable law provides otherwise.

27. Fees and Payments

Fees are shown in Canadian dollars and applicable taxes are added where required. Payments are processed by third-party payment processors. Refunds are provided as stated at the time of purchase or as required by applicable law. Transactions between users are handled between those users.

28. Advertising and Promotions

We Buy North may display advertising and paid promotional placements, such as North Spotlight. Sponsored content will be identified. Advertisers are responsible for their ads, which must be accurate and comply with applicable advertising laws. We may approve, refuse, schedule or remove ads.

29. Notifications and Electronic Communications

You agree to receive electronic communications relating to your account and the services, such as security notices, messages, replies and receipts. Optional notifications, including push notifications, deal alerts and marketing, can be managed in your notification settings, and you may withdraw consent to commercial electronic messages at any time in accordance with Canada's Anti-Spam Legislation.

30. Privacy and Personal Information

Our collection, use and disclosure of personal information is described in the We Buy North Privacy Policy, available at https://webuynorth.com/privacy, which forms part of these Terms.

31. Reporting Users and Listings

You may report listings, profiles, messages or content you believe violate these Terms or the law using the report tools or Help & Support. We review reports and take action we consider appropriate, but we cannot guarantee a specific outcome.

32. Account Suspension

We may temporarily restrict features or suspend an account where we reasonably believe there is a violation of these Terms, a risk to users or the Platform, or where required by law. Where appropriate and lawful, we will inform you of the reason and how to contact us.

33. Account Termination

You may close your account at any time by contacting Help & Support. We may terminate accounts for serious or repeated violations, fraud, or where required by law. Sections that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability and applicable law) survive.

34. Platform Availability

We work to keep the Platform available and secure, but it may be interrupted for maintenance, updates, or reasons beyond our reasonable control. We do not guarantee uninterrupted or error-free operation.

35. Changes to Services

We may add, change or discontinue features over time. Where a change materially affects a paid service you have purchased, we will provide reasonable notice and any remedy required by applicable law.

36. Disclaimers

To the extent permitted by law, the Platform and third-party content are provided “as is” and “as available”. We do not guarantee the accuracy of listings, prices, flyers, job postings or user content, or the conduct of users or businesses. Nothing in these Terms excludes any warranty or guarantee that cannot be excluded under applicable law.

37. Limitation of Liability

To the extent permitted by applicable law, We Buy North will not be liable for indirect, incidental, special or consequential damages, or for losses arising from transactions between independent users or businesses. This limitation does not apply to liability that cannot be limited by law, including liability for intentional or gross fault, bodily injury, or rights under applicable consumer protection legislation.

38. Indemnification

To the extent permitted by law, you agree to indemnify We Buy North against claims by third parties arising from your content, your violation of these Terms or your violation of the rights of others. This section does not apply to consumers where prohibited by applicable consumer protection law.

39. Changes to Terms

We may update these Terms. The version number and “Last Updated” date will change. For material changes we will give notice through the Platform and may ask you to review and accept the updated Terms to continue using certain features. Minor changes, such as formatting or clarifications, take effect when posted.

40. Applicable Law

These Terms are governed by the laws of the province or territory in Canada where you reside and the federal laws of Canada applicable there. Nothing in this section deprives you of the protection of mandatory provisions of the law of your province or territory of residence, or of your right to bring proceedings before the courts of your place of residence where the law provides it.

41. Consumer Rights

Mandatory rights under applicable Canadian and provincial consumer-protection and privacy laws remain unaffected by these Terms. For Québec users, nothing in these Terms limits or excludes rights under the Consumer Protection Act (Québec), the Civil Code of Québec, the Charter of the French Language, or the Act respecting the protection of personal information in the private sector, and any clause inconsistent with those laws does not apply to you.

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms are available in English and French; both versions are equally authoritative.
